Terms of Service

These Terms of Service govern the use of Charge Media Inc.’s services and the responsibilities of both the company and its clients.
1. Services Provided
Charge Media Inc. offers digital marketing services, social media marketing, consulting, and related services to clients.
2. Payment Terms
Clients agree to pay an hourly rate of $XX for services provided during standard operating hours. Services provided outside of these hours will incur a 30% surcharge.
- Invoices will be sent bi-weekly and are due upon receipt.
- Late payments: Invoices unpaid for 30 days will incur a 6% fee on the outstanding balance. An additional 2% will be added for each subsequent 7-day period of non-payment.
Invoices will be sent to the email address provided by the Client’s accounts payable department.
3. Intellectual Property
Charge Media Inc. retains full ownership of all content created for the client unless otherwise agreed upon.
4. Termination
Either party may terminate this agreement with 45 days’ written notice. Justifiable reasons for termination include, but are not limited to:
- Breach of contract
- Failure to perform agreed-upon services
- Significant delays or material issues that affect the agreed outcomes
Upon termination, clients will be responsible for any termination fees and services rendered up to the termination date.
5. Refund Policy
Refunds are offered at the discretion of Charge Media Inc. at this time.
6. Client Responsibilities
Clients are expected to maintain consistent and timely communication to facilitate service delivery.
7. Limitation of Liability
Charge Media Inc. is not liable for third-party service failures, outages, or other factors beyond its control that may impact service delivery.
8. Governing Law
These terms are governed by the laws of the Commonwealth of Massachusetts.
9. Amendments
Charge Media Inc. reserves the right to amend these Terms of Service periodically. Clients will be notified of any changes via the website.
